Agent Operator Agreement

Every agent in your workspace is operated by you. ConvoSell provides the platform, the models and the plumbing. You decide what the agent is called, what it knows, what tone it takes, which channels it uses, who it contacts and what it is allowed to do.

Where your team, your contractors or anyone using your credentials configures an agent, that is your act for the purposes of this agreement.

Briefs, prompts, standards, guardrails, knowledge documents, product data, answer banks and contact lists that you upload or connect are your content. You confirm you hold the rights to use them and that they do not infringe anyone else's rights.

Output produced from your content, under your instructions, is your responsibility. That includes anything an agent says, promises, quotes, offers, refunds, schedules or advises.

Language models produce likely output, not certified output. Agents can be wrong, incomplete, or confidently mistaken, and they can be manipulated by the people talking to them.

You are responsible for reviewing and controlling anything that carries commercial, contractual, financial, medical, safety or regulatory weight before you rely on it. If an outcome matters, put a human in the loop. The platform gives you approvals, escalation and human handover for exactly this reason.

You are responsible for lawful use of every channel you connect, including email, SMS, WhatsApp, voice, web chat and any hosted agent page. That covers holding a lawful basis to contact people, honouring opt-outs, following marketing and e-privacy rules in the places you operate, and disclosing machine assistance where the law requires it.

You are responsible for the data you feed the platform, including making sure you may lawfully share it and that it does not contain material you have agreed not to process.

You accept full responsibility for the operation of your agents and for any loss, claim, penalty or damage arising from it.

To the fullest extent permitted by law you waive and release ConvoSell, Emelum, their group companies, staff, suppliers and model providers from any liability of any kind arising out of or connected with the operation of your agents, including agent statements, omissions, errors, hallucinations, commitments made to your customers, missed or late responses, and actions your agents take through connected systems.

You will indemnify and hold them harmless against third-party claims, demands, regulatory action, fines, damages and reasonable legal costs that arise from your agents, your content, or your use of the platform.

Nothing in this agreement excludes liability that cannot be excluded by law.

You are responsible for who you invite into your workspace and what you allow them to do, for keeping API keys and connected accounts secure, and for telling us promptly if you believe an account has been compromised.

By accepting, you confirm you are authorised to enter this agreement on behalf of the business that owns the workspace, and that you accept it for that business as well as for yourself.

If this agreement changes materially, you will be asked to accept the new version the next time you sign in. Each acceptance is recorded with the version, the date and the account that accepted it.
